Provider, website, and scope

Final Code LLC is registered in and operates from Florida, United States. We provide custom software development and web design and development. This website presents our business and allows you to contact us; it does not offer online payments or direct contracting. These terms establish general conditions for website use and describe the framework for our professional services. They do not replace proposals, contracts, or specific agreements with each client. Visiting the website or sending an inquiry does not, by itself, create a project agreement or constitute acceptance of a commercial proposal. Do not use the website to carry out unlawful activities, attempt unauthorized access, or interfere with its operation.

Proposals and project agreements

Before billable work begins, we and the client agree in writing on the scope, deliverables, price, schedule, responsibilities, acceptance criteria, and how work performed is valued if the project ends early. The proposal identifies its validity period and how to accept it. Acceptance is documented through the method stated in the proposal, which may include an electronic signature or explicit written confirmation. Billable work begins after acceptance and receipt of any agreed initial payment. The project agreement identifies any general policies incorporated into it, including the Refunds & cancellations policy, their applicable versions, and the order of precedence in case of a conflict. Those documents are provided before acceptance; publication on the website alone does not incorporate them into a project agreement. Any specific conditions that differ from these general terms or the incorporated policies must be expressly agreed before acceptance and identified in the project agreement, subject to mandatory law.

Prices and payments

The proposal identifies the currency, applicable taxes, payment methods, due dates, and any advance or milestone payments. There is no fixed advance-payment percentage for all projects. Planning, design, or development is billable only when agreed with the client in advance; initial inquiries or discussions offered free of charge will not later be charged or deducted from a refund. Additional charges require agreement before the additional work or expense is incurred. If an agreed payment becomes overdue, we will contact the client to resolve it; any resulting pause and schedule adjustment will be communicated in writing and handled under the project agreement. These terms do not establish automatic late fees or make advance payments nonrefundable. The separate Refunds & cancellations policy describes refund eligibility, deductible expenses, processing fees, and response and refund timing, and complements these general terms.

Client materials and responsibilities

The client supplies the information, content, access permissions, and approvals agreed for the project and must have the rights needed for the materials they provide. Access should be limited to what is necessary and shared through an agreed secure method. If required materials or decisions are delayed, we will discuss the effect on the schedule and document any revised dates. The client should not provide personal or confidential information that is unnecessary for the work.

Revisions and scope changes

The project agreement identifies included revisions and features. Requests outside that scope are evaluated separately. Before additional work begins, both parties agree in writing on any changes to deliverables, fees, and schedule. An inquiry about a possible change does not by itself authorize additional charges.

Delivery, review, and support

The project agreement defines delivery stages, the review process, acceptance criteria, and any included training, support, or maintenance. The client can report issues against the agreed scope during that review. Silence alone does not constitute acceptance under these general terms. Corrections, new features, and ongoing maintenance are distinguished in the project agreement. A delivery does not include indefinite support, hosting, or future updates unless expressly agreed.

Ownership and licenses

The project agreement identifies the rights the client receives in custom deliverables, any payment conditions for those rights, and whether source code, design files, or other editable materials are included. Any transfer of copyright is documented in a written agreement signed by the rights holder or an authorized representative. Pre-existing tools and reusable components retain their respective ownership, with any rights needed to use the deliverable specified in the agreement. Third-party and open-source components remain subject to their own licenses. Delivery or payment alone is not described here as a transfer of all intellectual property rights. Separately, this corporate website’s original content, designs, and brand elements belong to Final Code LLC or their respective rights holders. Access to the website does not grant permission to copy, distribute, or commercially exploit protected materials beyond what the rights holder, an applicable license, or the law permits. This does not restrict ordinary browsing, linking to the website, or other legally permitted uses. Code or materials expressly released under a license remain governed by that license.

Third-party services

A project may use third-party hosting, domains, software, or integrations. Before incurring costs, we agree on who owns or controls the accounts, who pays the charges, and how renewals are handled. Third-party services have their own terms, availability, and pricing, which we do not control. If a relevant service changes or becomes unavailable, we will discuss the effect on the project and any proposed additional work with the client. This does not remove responsibilities we have expressly assumed or that apply by law.

Cancellation and project closure

For cancellation or early closure requests, contact hello@finalcodellc.com. General cancellation and refund rules are set out in the separate Refunds & cancellations policy, including cancellation before or after billable work starts, completed work, and situations where Final Code LLC cannot continue. The project agreement specifies notice and closure procedures, the agreed basis for valuing billable work, and the handover of materials, access, and associated rights. Any project-specific differences must be expressly agreed before acceptance, with the applicable documents and their order of precedence identified in the agreement, subject to mandatory law. These general terms do not establish an automatic cancellation penalty or a blanket no-refund rule, and do not limit remedies for breach or mandatory legal rights.

Warranties and responsibility

We undertake to perform the agreed work with reasonable professional care and in accordance with the project scope. Unless expressly agreed in writing, our services do not guarantee particular commercial results, such as sales volumes, search rankings, revenue, or uninterrupted operation of external services. Any specific warranty period, corrective process, allocation of responsibilities, or limitation of liability must be expressly stated in the project agreement and comply with applicable law. These general terms do not set a monetary liability cap or exclude rights or responsibilities that cannot legally be excluded.

Independent products

Products operated by Final Code LLC, including Alvoranza, may have separate terms, privacy policies, and cancellation or refund conditions. Those documents must be presented for the relevant product or purchase. This corporate website does not replace those product-specific conditions or create a subscription to any product.

Applicable law and contact

These general terms are governed by Florida law and applicable United States federal law, without removing mandatory protections that apply to a client. Any dispute is handled by a court with lawful jurisdiction, subject to any valid written project agreement. These general terms do not establish mandatory arbitration or a particular county as an exclusive venue. For questions or to discuss a project concern, contact hello@finalcodellc.com.

Changes to these terms

The current version of these general terms is available on this page with its effective date. Updates do not, by themselves, change the price, scope, or other agreed conditions of an existing project. Changes to an existing project require the parties’ agreement, except where applicable law requires otherwise.

The English version prevails if the translations differ, subject to applicable law.
